Description

  • Support company formations, entity management, governance, filings, resolutions, and corporate housekeeping.
  • Draft, review, and negotiate routine commercial contracts, including NDAs, employment, vendor, and customer agreements.
  • Support financings, fundraising, diligence, closings, and coordination with investors and outside counsel.
  • Assist with founder equity, option pools, grants, vesting arrangements, cap tables, and equity documentation.
  • Provide practical guidance on routine privacy, data-use, and AI-related legal matters, escalating higher-risk issues.
  • Coordinate recurring tax, fund, compliance, audit, investor reporting, and filing requirements with external advisors.
  • Maintain organized corporate records, contracts, equity documentation, and legal workflows.
  • Create and improve templates, playbooks, processes, and systems to make recurring legal work more efficient.
  • Manage routine-to-moderate legal matters independently and escalate complex issues appropriately.

Requirements

  • 4+ years of legal experience with meaningful corporate and commercial experience.
  • Ability to independently handle routine-to-moderate commercial contracts and corporate matters.
  • Strong legal judgment, organizational skills, attention to detail, and ability to manage multiple workstreams.
  • Experience supporting financings, transactions, corporate governance, equity, or ongoing corporate workflows.
  • Practical, business-oriented approach balancing legal risk, speed, and business objectives.
  • Clear written and verbal communication, including explaining legal issues in straightforward business terms.
  • High agency and comfort operating in a fast-moving, ambiguous environment.
  • In-house experience at a startup, scale-up, venture-backed company, or similar environment preferred.
  • Experience with venture financings, SAFEs, preferred stock, equity administration, cap tables, or option plans preferred.
  • Familiarity with privacy, data, AI legal issues, external counsel management, or legal operations systems preferred.
